1. Agreement to Terms
By accessing or using the website, platform, and associated services (the “Services”) provided by The Accreditors Inc. (“The Accreditors”, “we”, “us”, “our”), you (“you”, “User”, “Customer”, “Issuer”, “Recipient”) agree to be bound by these Terms of Service (“Terms”), and by our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use our Services.
2. Definitions
Customer / Issuer: An organization such as an educational institution, association, certification body, or other entity that uses our platform to issue digital credentials.
Recipient / Earner: An individual who receives credentials issued by a Customer via our platform.
Authorized User: Any person who is permitted by a Customer or recipient to use the Services, including employees, agents, or contractors.
Credentials: Digital certificates, badges, digital wallets, or any credential object issued via the platform, along with associated metadata.
Customer Data: Data, content, information, or materials that a Customer uploads, submits or otherwise makes available to us for the purpose of using the Services (which may include Recipient Data).
Third-Party Services: External services, websites, or tools not controlled by The Accreditors that may be linked, integrated, or used in connection with our platform.
3. Eligibility
You affirm that:
You are of legal age to form a binding contract in your jurisdiction (or, if younger, that you have parental or guardian consent where required).
If you are using the Services on behalf of an organization, you have the authority to bind that organization to these Terms.
4. Use of the Services
You agree to use the Services only for lawful and permitted purposes.
You must not misuse the Services; for example, you may not:
Upload or transmit anything that is unlawful, harmful, fraudulent, defamatory, obscene, infringing, or otherwise objectionable.
Attempt to gain unauthorized access to parts of the Services, other Users’ accounts, or data.
Interfere with or disrupt the integrity or performance of the Services.
Copy, reproduce, modify, create derivative works, or distribute content or credentials except as permitted under these Terms.
We reserve the right to suspend or terminate access if there is misuse or violation of these Terms.
5. Account, Credentials & Customer Obligations
Customers are responsible for maintaining the confidentiality of account credentials (passwords, API keys, etc.).
Customers are responsible for the accuracy, legality, and appropriateness of all Customer Data they upload or provide, including ensuring any necessary consents (especially for Recipient Data).
Customers control how credentials are designed, issued, shared, displayed, or revoked.
6. License & Intellectual Property
We grant you a non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.
You retain ownership of Customer Data, Recipient Data, and any content you upload.
We retain ownership of the platform, software, documentation, trademarks, logos, and all associated intellectual property.
7. Fees, Payment & Subscription Terms
Use of certain parts of the Services may require payment. The fees, billing schedule, and payment methods will be as agreed in your subscription plan or service agreement.
Payments are due as per the agreed terms. Delays or defaults in payment may result in suspension or termination of Services.
Unless specifically stated otherwise, fees are non-refundable.
8. Data Protection, Privacy & Security
Our processing of personal data is governed by our Privacy Policy.
We will implement reasonable administrative, technical, and physical safeguards to protect data.
While we take measures to secure the Services, no system is completely secure; we cannot guarantee absolute security.
9. Third-Party Services & Integrations
The Services may integrate with or link to Third-Party Services. Such integrations are provided for convenience only. We do not control such services and are not responsible for their content, policies, or availability.
When using Third-Party Services, you are responsible for complying with their terms and policies.
10. Term & Termination
These Terms remain in effect so long as you continue using the Services or until terminated.
Either party may terminate access if the other breaches a material term and fails to remedy it within a specified cure period (for example, 30 days) after written notice.
On termination, all licenses granted to you will end, and you must cease use of the Services.
11. Disclaimers & Limitation of Liability
The Services are provided “as is” and “as available”. To the extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to fitness for a particular purpose, non-infringement, or accuracy of credentials issued by Customers.
To the maximum extent permitted by law, The Accreditors shall not be liable for:
Indirect, incidental, special, consequential, or punitive damages;
Loss of profits, data, business, or other intangible losses;
Any failure or delay arising from matters outside of our reasonable control.
Our aggregate liability under these Terms will be limited to the total amount paid by you for the Services in the 12 months preceding the event giving rise to liability, or such other limit as may be required by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless The Accreditors, its officers, directors, employees, agents, and affiliates from and against any claims, demands, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
Your use of the Services;
Your violation of these Terms;
Your violation of any rights of another;
Your failure to obtain necessary consents or to comply with applicable laws.
13. Modification of Terms
We may revise these Terms from time to time. We will notify you of material changes via the website or via email. Continued use after such changes constitutes acceptance of the updated Terms.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of India.
Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
15. Severability & Miscellaneous
If any provision of these Terms is found to be invalid or unenforceable under applicable law, such provision will be modified to the extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Headings are for convenience and do not affect interpretation.
No failure or delay by The Accreditors in exercising any right under these Terms shall constitute a waiver of that right.
